Terms of use

1.1

Purpose of the agreement

These terms govern access to and use of the Metrrik platform, published by Metrrik App. By creating an account or starting a trial period, you, the client organization (“the Client”, “you”), accept these terms in full and without reservation.

Metrrik is an internal document approval tool for finance and accounting teams — it is neither a legal electronic signature service within the meaning of the eIDAS regulation, nor an electronic archiving system with probative value within the meaning of the NF Z42-013 standard.

1.2

Accounts, roles and access

Each client organization has its own dedicated workspace. Three roles structure access: Owner, Administrator and Member. Detailed permissions and per-category approval rights (up to three configurable levels, in consensus, sequential or first-to-respond mode) refine what each person can do. You are solely responsible for your team members’ credentials and for the actions taken from their accounts.

Access is suspended in the event of prolonged inactivity exceeding twelve (12) months, or non-payment at the due date after two reminders spaced at least fifteen (15) days apart.

1.3

Service availability

Metrrik does everything it can to keep the service continuously available. Scheduled maintenance windows are announced in advance and, wherever possible, scheduled outside North American business hours.

1.4

Acceptable use

You undertake not to bypass the audit trail, not to upload illegal content or content infringing the rights of third parties, not to subject the platform to unauthorized load testing, and not to use the service to store payment data (PCI-DSS) or health data (HIPAA) without a specific addendum.

1.5

Pricing, billing and termination

Fees are billed per organization — not per user — and expressed in Canadian dollars (CAD). Annual plans are prepaid; upgrading to a higher tier is billed pro rata for the remaining cycle.

You may terminate at any time from the interface, with notice taking effect at the end of the current billing cycle. Your data remains available for export for a reasonable period after termination, so you can export it or reactivate your account.

1.6

Limitation of liability

Except in cases of gross negligence or willful misconduct, Metrrik’s total liability under the agreement is capped at the amount of fees paid by the Client during the twelve (12) months preceding the triggering event. Indirect damages, loss of business, reputational harm and loss of opportunity are excluded.

1.7

Governing law and dispute resolution

The agreement is governed by the laws of Québec (Canada). Any dispute falls under the exclusive jurisdiction of the courts of Montréal, after an attempt at amicable settlement lasting at least sixty (60) days. For clients established in the European Union, mandatory provisions of local consumer law, where they apply, remain reserved.
